Amend­ed and Restat­ed Arti­cles of Incor­po­ra­tion Meeting

About the Articles of Incorporation

The sole ques­tion on our bal­lot is to adopt the Amend­ed and Restat­ed Arti­cles of Incor­po­ra­tion. This change will allow the Board of Direc­tors to con­sti­tute a revised set of bylaws bring­ing the OHS into the 21st cen­tu­ry. This evo­lu­tion of the OHS into a pro­fes­sion­al­ly rec­og­nized non-prof­it orga­ni­za­tion is the next nat­ur­al step in its growth and development.
 
As far back as 2017, OHS mem­bers gath­ered in San­ta Fe, New Mex­i­co for a serous strate­gic plan­ning ses­sion.  A sin­gu­lar out­come and one of the main con­clu­sions from the Weary report” (Bill Weary) was that in addi­tion to hir­ing a CEO, the Board must be self-reg­u­lat­ing – that means that board mem­bers are nom­i­nat­ed and elect­ed BY the board, not the gen­er­al membership.
 
In 2025, the cur­rent mem­bers of the board have written:
 
[Such a change] assures bet­ter gov­er­nance through expert-led deci­sion-mak­ing, [pro­vid­ing] an over­ar­ch­ing strate­gic vision, and improved legal and finan­cial account­abil­i­ty. Sim­i­lar tran­si­tions can attract new invest­ment and strength­en the orga­ni­za­tion with­out detract­ing from its com­mit­ment to its members.
